The social and contractual structure of vertical relationships

Abstract :
In this study, we investigate how the social and contractual structures of vertical

(procurement) relationships relate to each other. Using survey data on the procurement relationships of Ford and Chrysler, we

assess if the extent and the effect of relational embeddedness between procuring and supplying organizational units differs

by the governance mode used to organize the relationship (market, hybrid, hierarchy). We find that although there is no

difference across governance modes in the extent to which ties between procuring and supplying units are relationally

embedded, the effects of relational embeddedness on exchange performance are strongest in markets and weakest in hierarchies.

While theories emphasizing the contractual and social structure of exchange relationships are often seen as competing

explanations of exchange performance our results suggest a subtler, inter-linked relationship. Contractual structure may not

shape the social structure of inter-organizational relationships directly, but contractual structure does shape the effects

of the social structure on exchange performance. Implications are drawn for transaction cost economics, research on

relational embeddedness and inter-organizational relationships.
