THE SOCIAL SIDE OF MERGERS AND ACQUISITIONS - Cooperation relationships after M&A-transactions-

Mergers and acquisitions (M&As) are frequent events in today's economy and important

events within the lifetime of a company. Despite this importance many M&As fail to generate the synergies that were

anticipated before the transaction. Synergy generation requires at least partial integration of merged companies. And

integration in turn requires often times building of interpersonal relationships between employees from the merging

organizations.

However, past research has not focused on the determinants of the formation of relationships between

employees from the merging firms, nor on the characteristics of these (i.e. frequency, importance and quality of

cooperation). Thus, in this study I investigate how different individual characteristics, as well as individual similarities

and dissimilarities, influence relationship formation, between whom these relationships are built and the quality of the

relationship.

For a sample of 76 newly built relationships in a recent merger, I find that rank is an important

characteristic of an individual that predicts the formation of a relationship. I further find that employees with preferences

for clearly defined work and for autocratic leadership styles are more integrative than others without such preferences. Last

but not least, I find that similarity in age does not influence cooperation. However, similarity of work and general

attitudes makes important and high quality relationships between employees more likely.

These findings bear important

implications for the design of future M&A transactions as well as constitute an interesting starting point for further

research in the field of M&A research and social network research.
